Terms of Service

By creating an account or using ShipAd.io, you agree to these terms. If you don't agree, don't use the service.

1. The service

ShipAd.io is a product of Stone Fence Holdings LLC. We serve two kinds of founders: those testing demand for an idea before building it, and those running ads for a product they've already shipped. In both cases, we generate marketing assets (landing concepts, ad copy, creative) and run paid-ad campaigns on connected advertising platforms. You bring the idea or the product; we generate the assets and route spend.

We may add, change, or remove features. We'll try to give reasonable notice of material reductions.

2. Your account

You need an account to use paid features. You're responsible for the activity on your account and for keeping your credentials safe. One person per account — don't share logins. You must be 18 or older.

3. What you can and can't do

You agree not to:

  • Use ShipAd.io for content that is illegal, deceptive, or violates the advertising platforms' own policies.
  • Run campaigns that promote hate, harassment, fraud, adult content prohibited by the connected ad platform, weapons, or any category the ad platform disallows.
  • Attempt to reverse-engineer, scrape, overload, or abuse the service.
  • Impersonate someone else or misrepresent your affiliation.
  • Use the service to build a competing product from our outputs.

If a connected advertising platform (for example, the one that actually runs your ads) rejects your content or suspends your campaign, that's between you and them. We'll pass through whatever information they give us, but we don't override their decisions.

4. Ownership of content

Your content. The ideas you submit and the campaign content generated from them are yours. You grant us a limited license to process them for the purpose of running the service — generating briefs, producing creative, launching campaigns, billing, and providing support.

Our content. The software, agents, prompts, and UI are ours. You don't get a license to redistribute them.

Generated output. The ad copy, images, and video the platform generates on your behalf are produced by third-party AI image and video generation providers. Ownership and licensing of AI-generated output is a legally evolving area — treat it conservatively. Don't assume exclusive rights to generated material.

5. Paid plans and billing

We offer tiered subscriptions (free, Standard, Builder). Paid tiers are billed by our payment processor on a recurring monthly or annual basis. You can cancel at any time; cancellation takes effect at the end of the current billing period.

Ad-spend wallets. Paid tiers include a monthly ad-spend allowance. You can top up beyond that allowance in your per-idea wallet. Wallet balances are not refundable as cash and expire if the idea is deleted — if you want the balance refunded in cash on closure, contact support; we evaluate case-by-case.

Handling fee. ShipAd.io charges a 15% handling fee on advertising spend. This fee is disclosed on every invoice. We explain what it covers and how it compares to the industry at /handling-fee. Using a paid feature that spends money on ads requires a one-time acknowledgment that you've read and understood that page.

6. Refunds

Subscription fees are non-refundable except where required by law. If you believe you were charged in error, email us and we'll investigate.

7. Service availability

We aim for high availability but don't promise uptime. The service is provided "as is" and "as available." We may need to take the service down for maintenance, security, or operational reasons.

8. Third-party platforms

Running ads requires you to authorize ShipAd.io to act on your behalf on third-party platforms (the ad platform, the payment processor, etc.). Your use of those platforms is also governed by their terms. We're not responsible for the third-party platforms — we're responsible for how we use the access you grant us.

When you connect a Meta Ad Account, your use is also governed by Meta's Platform Terms and Developer Policies. When you connect a Google Ads account, your use is also governed by Google's API Services User Data Policy. If a conflict arises between these terms and the platform's, the platform's terms take precedence for actions taken inside that platform.

9. Termination

You can close your account at any time. We can suspend or terminate your account if you violate these terms, if your content creates legal risk to us or to a connected platform, or if your account is used for fraud or abuse. We'll refund any unused portion of a prepaid subscription if we terminate without cause.

10. Disclaimer of warranties

To the fullest extent permitted by law, ShipAd.io is provided without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't guarantee that any campaign will perform, convert, acquire customers, or find market fit — whether you're testing an idea or scaling a shipped product. Campaign results are information. Information is not a promise.

11. Limitation of liability

To the fullest extent permitted by law, our aggregate liability for any claim arising out of or related to the service is limited to the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) one hundred U.S. dollars. We are not liable for indirect, incidental, consequential, or punitive damages.

12. Indemnification

You agree to indemnify and hold Stone Fence Holdings LLC harmless from claims arising out of your content, your use of the service, or your violation of these terms — including claims from connected advertising platforms about your content or campaigns.

13. Governing law and disputes

These terms are governed by the laws of the State of Wisconsin, USA, without regard to conflict-of-laws principles. Before filing any formal claim, you and we agree to first attempt to resolve the dispute informally by emailing the contact address below; if not resolved within 30 days, either party may proceed. Formal disputes will be brought in the state or federal courts located in Wisconsin, and you and we consent to the personal jurisdiction of those courts.

14. Changes to these terms

We may update these terms. Material changes will be posted on this page with a new "Last updated" date. If you continue using the service after changes take effect, you accept the updated terms.
